Introduction
This document sets out the Terms of Service for the CineArtery platform, owned and operated by BharatVarsh Pictures LLP, a limited liability partnership incorporated under the LLP Act, 2008, with its registered office at No.381, 2nd Main, 4th Cross, Padhuka Madira Rd, BHCS Layout, Subramanya Pura, Bangalore – 560061, Karnataka, India. (“CineArtery”, “we”, “us” , “our”). These Terms apply to anyone using our website domain name www.cineartery.com (the “Website”), our applications “CineArtery” available on the Apple App Store and Google Play Store (the “Apps”), and any related services (collectively referred to as the "Platform" or "Services"). Please read the Conditions of Use document carefully before you start using.

1. Description of Services and Produce
CineArtery is a specialized software-as-a-service platform designed for the filmmakers and entertainment industry or Ads Company. The Platform provides comprehensive production management tools including budget management, schedule coordination, calendar functionality for tasks and events, messaging and notification systems, script collaboration tools, file sharing capabilities, and various other features designed to facilitate film production workflows. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice, and we shall not be liable to you or any third party for any such modifications, suspension, or discontinuation. the platform evolves continuously. Features may be added, modified, or occasionally removed as we improve the service. We'll notify you of significant changes that affect your workflow. The Platform functions strictly as an intermediary enabling professional connections between Producers, Cast and Crews and Others .It neither guarantees employment nor undertakes responsibility for disputes or payments.
1.2 Contract
By creating an account, installing, downloading, or clicking “accept”, accessing our Services in any way, you agree to be bound by these Terms. This applies whether you're acting on your own behalf or If you represent on behalf of an organization, production house, company, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and in such case, "you" and "your" will refer to such entity. If you do not agree to these Terms, you must not access or don’t use our services or platform. You can always terminate this agreement by closing your account and stopping your use of CineArtery.
1.3 Members or Membership and Visitors
Individuals who browse the Website without registering are "Visitors." Once you sign up, you become a “Member.” When you register with CineArtery, you become a Member with access to our full suite of production management tools or Profiles. Members get personalized workspaces, collaboration tools, and the ability to manage production workflows. Your membership is personal to you, though if your company purchased it for you, they may have certain administrative rights to manage the subscription while your personal account data remains yours.
1.4 Changes
We may update or modify these Terms, our Privacy Policy, or other policies from time to time. When we make significant changes that affect your rights, changes won't apply retroactively. We'll notify you through the Platform or via email with reasonable advance notice. If you disagree with any modifications, you can close your account. Continuing to use our Services after changes take effect means you accept the updated terms.

2. Obligations
2.1 Service Eligibility
You must be at least 18 years old to register. If you are under 18, your parent or legal guardian must create and manage the account on your behalf. CineArtery reserves the right to refuse access, suspend, or terminate accounts that do not meet eligibility requirements or that are created by persons who do not have authority to act on behalf of a person or organization. This isn't just a formality; it's about ensuring all users can legally enter into contracts and responsibly handle production data.
2.2 Your Account and Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Protect your credentials, use reasonably secure passwords and don't share it. If you notice any unauthorized access, let us know immediately. To access certain features, you must provide registration information that is accurate, current, complete and to keep it updated. If you provide any information that is untrue/False, misleading, inaccurate, or incomplete, or if CineArtery reasonably suspects such, CineArtery may suspend or terminate your account and deny access to the Services. as trust is fundamental in our industry community.
2.3 Payments Terms, Subscriptions and Refunds
Some parts of the Services are offered for a fee or on a subscription basis.If you purchase any paid Services subscription fees are charged based on your selected plan, you agree to pay all applicable fees and taxes(GST) in the manner described at the time of purchase. Subscriptions automatically renew at the end of each billing cycle unless you cancel prior to renewal. We work with secure payment gateways to process transactions, and you can update your payment method anytime through your account settings. CineArtery may change prices and fees prospectively upon reasonable notice.
For new users, we offer a 60-day free trial to explore our features. The trial starts when you complete registration, and we'll begin billing only after it ends unless cancelled you will be charged at the trial’s end. You won't receive a reminder when the trial ends, so mark your calendar if you want to evaluate before committing.
If someone else bought a subscription for you or a third party (for example, your employer or a production company) pays for or provides access to paid Services for your account, that third party may control access, administrative rights, or reporting related to the paid Services they provide, but they do not gain ownership of your personal account information or your personal User Content except as expressly stated and agreed.
For subscription Cancel and Refundable check out our Refund Policy. Subscription fees are non-refundable except as required by law. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period. Upon cancellation, you will continue to have access to the Platform through the end of your paid billing period, after which your access to premium features will be terminated. Payments processed through mobile platforms may be subject to Apple App Store or Google Play Store payment processing and refund policies; where purchases are made through such third-party stores the payment and refund terms of those stores will apply in addition to these Terms. We may use third-party payment processors to bill you through a payment account linked to your account.
2.4 Communications, Notices and Messages
When you use CineArtery, you're agreeing to receive electronic communications from us. This includes service updates, security alerts, notices, agreements, disclosures, occasional product announcements and and other information relevant to the Services. We'll primarily communicate through the email address you provide, so keeping it current ensures you don't miss important information. You may opt out of some non-essential communications in accordance with the features provided in your account settings, but you cannot opt out of service-related communications.
We'll keep you informed through in-platform notifications and emails to your registered Mail address. You can manage your notification preferences in your account settings, choosing what updates you want to receive and how. You must keep your contact information up to date, and you agree that electronic delivery to the address or account you provide is sufficient notice.
2.5 Sharing
The Services enable Members to share and collaborate on scripts, budgets, schedules, calendar events, messages, files, collaboration boards, cast and crew or production Profile and other information with your team (cast, crew, or production members), you decide who can view or edit each item using permission settings. Content you share in production workspaces is visible to authorized team members.
We default to privacy for sensitive activities; for instance, if you're exploring new project opportunities, we won't notify your current collaborators unless you choose to share that information. cast, crew, or production Profile can be shared in all the Platform.
You are responsible for understanding the sharing and privacy features and for any consequences of sharing content. CineArtery does not control what other Members do with content you share with them outside the Services.
2.6 Third-Party Services and Links
The Services may contain links to third-party websites or services and may permit third-party integration. We does not control and is not responsible for third-party content, availability, or practices, and inclusion of any link or integration does not imply endorsement. Your interactions with third parties are at your own risk.

3. Rights and Limits
3.1 Personal Information, Data and Privacy
Your privacy matters to us, and we collect, store, and process personal data in accordance with our Privacy Policy and applicable Indian laws, we handle your data in accordance with the Information Technology Act, 2000, and its associated rules. Our detailed Privacy Policy explains how we collect, use, and protect your information. By using the Services you consent to such processing and to the transfer of data for operational purposes, including storage in India or other jurisdictions where CineArtery or its service providers operate. You are responsible for the accuracy of information you provide and for obtaining any consents required to upload or share personal data of third parties. You should maintain backups of critical materials, including scripts, budgets, and schedules, because we cannot guarantee permanent retention beyond the terms of our retention policies or your account activity status. When you share feedback about our Services, you're allowing us to use those insights to improve the platform for everyone, though we're not obligated to implement every suggestion.
3.2 Others' Content, Products and Services, Events
Content shared by other users remains their property, and while we moderate for obvious violations, we can't guarantee the accuracy or appropriateness of everything shared on the platform. The Services may feature content, offers, products, services, or events posted by third parties or other Members. CineArtery is a platform that connects Members and assists in discovery, whether for hiring, collaboration, or networking; we do not provide, manage, or guarantee any third-party product or service, nor do we endorse or vet third-party events, employers, suppliers, or offers. Any relationship, contract, or transaction you enter into with another Member or third party is solely between you and that other person or entity. The Platform shall not be liable for losses, disputes, non-payments, or misconduct arising out of interactions between Users. Users shall be solely responsible for compliance with applicable labour law, including the Minimum Wages Act, 1948 ,the Contract Labour (Regulation and Abolition) Act, 1970, and state-specific film industry regulations.
If you attend industry events promoted through our platform, you're subject to the event organizer's terms. We help you discover opportunities but aren't responsible for event quality or other attendees' conduct. When you register for third-party events or accept offers through the Services, additional terms may apply and you should review them before proceeding.
3.3 Limits
To maintain platform quality and prevent abuse, we reserve the right to impose reasonable limits on usage. This might include caps on storage, number of collaborators, messaging frequency, or the number of projects based on account type, plan, or other criteria set by CineArtery. If someone misuses the platform, harasses other users, or violates these terms, we can restrict, suspend, or terminate their access. We can also remove content that violates our policies or applicable laws.
3.4 Intellectual Property Rights, Trademarks and Copyright.
You retain ownership of the content you upload or submit to the Services, including scripts, budgets, Profiles and other materials ("User Content"), subject to the rights you grant below. By making User Content available on or through the Services you grant CineArtery a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, use, reproduce, modify (for technical purposes), distribute, display, and perform the User Content as necessary to provide the Services and to allow sharing with others in accordance with your settings. All creative works, portfolios, and professional content remain the intellectual property of the User.By uploading such content, the User grants the Platform a limited, non-exclusive, royalty-free license to display the content solely for matchmaking purposes, in accordance with the Copyright Act, 1957. You represent and warrant that you have the rights necessary to grant this license and that your User Content does not violate any law or third-party rights. CineArtery’s branding, software, source code, interface, designs, logos, and other materials are owned by CineArtery or its licensors and are protected by intellectual property laws. You shall not copy, reproduce, create derivative works of, reverse engineer, or otherwise exploit CineArtery’s proprietary materials except as expressly permitted under these Terms.
3.4.(a)Platform Ownership
The Platform and its entire contents, features, and functionality, including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement, are owned by CineArtery, BharatVarsh Pictures LLP, its licensors, or other providers of such material and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms permit you to use the Platform for your personal or commercial use in connection with film production activities only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as incidental to normal use of the Platform's intended functionality.
3.5 Recommendations
We use aggregated data and patterns to improve your experience through smart algorithmic recommendations. This might include suggesting potential collaborators, roles, content, or features, highlighting relevant industry opportunities, or organizing your dashboard and App Landing page to surface important deadlines. These recommendations get better as you use the platform more and keep your profile updated. You always control what information you share and can adjust privacy settings anytime. Recommendations are algorithmic and not guarantees of compatibility or success; use your own judgment when following recommendations and verifying any opportunities.

4. DISCLAIMERS AND WARRANTIES
4.1 Platform Availability and No Warranty
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaims all warranties, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We does not warrant that the Services will meet your requirements, be uninterrupted, secure, error-free, or free of harmful components
4.2 Professional Services Disclaimer
While the Platform facilitates collaboration and project management for film productions, we do not provide professional film production services, legal advice, financial advice, or any other professional services. Any decisions made based on information or tools provided through the Platform are solely your responsibility

5 Limitation of Liability
5.1 Limitation of Damages
To the maximum extent permitted by applicable law, in no event shall CineArtery, its officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Platform, unauthorized access to or alteration of your transmissions or data, statements or conduct of any third party on the Platform, or any other matter relating to the Platform, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been informed of the possibility of such damage. We won't be liable for indirect damages like lost profits or production delays and others in film. This limitation is standard in the industry and helps us keep our services affordable while managing risk appropriately.
5.2 Cap on Liability
Our total liability to you for any claims arising out of or relating to these Terms or your use of the Platform shall not exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the liability, or Ten thousand Indian Rupees (INR 10,000), whichever is greater.

6 Termination and Suspension
6.1 Termination by You
You may terminate your account at any time by following the account closure process within the Platform settings or by contacting our support team. Upon termination, your right to use the Platform will immediately cease.
6.2 Termination by Us
We may suspend or terminate your account, delete or block User Content, or refuse access to the Services at any time and without liability for reasons including, but not limited to, violations of these Terms, requests by law enforcement, prolonged inactivity, illegal activities, or suspected fraudulent or abusive behavior. If we suspend your account, you'll have 30 days to object or retrieve your data.
6.3 Effect of Termination
After termination, we'll delete your account data according to our retention policy, though we may keep certain information as required by law. Certain provisions of these Terms that by their nature should survive termination will continue to apply, including privacy, ownership, disclaimers, limitation of liability, indemnity, and dispute resolution clauses.

7 Content Standards and Collaborative works
7.1 Content Standards
All User Content must comply with applicable laws and regulations. You represent and warrant that your User Content does not violate any third-party rights, including copyright, trademark, privacy, publicity, or other personal or proprietary rights, and does not contain libelous, defamatory, or otherwise unlawful material. You acknowledge that film production materials often contain sensitive and valuable intellectual property, and you agree to respect the intellectual property rights of all users and third parties.
7.2 Collaborative Features
When using collaborative features such as shared script editing, budget planning, or production scheduling, you acknowledge that other authorized users within your production team may view, edit, or download content you share. You are responsible for managing access permissions appropriately and ensuring that only authorized individuals have access to sensitive production materials.

8. Modification of Terms of Service
We may modify these Terms from time to time. For significant changes that materially affect your rights, we will provide at least 3-5 days' notice by email or in-app notice before the new Terms take effect. If you do not agree to the changes, you may terminate your account before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you disagree with major changes, you can terminate your account within 30 days of notification and receive a prorated refund of any prepaid fees.

9. Indemnification
You agree to indemnify, defend, and hold harmless CineArtery, BharatVarsh Pictures LLP, and their officers, directors, employees, agents, affiliates, licensors, and service providers from and against any third-party claims, liabilities, damages, losses, or expenses, including reasonable legal fees and costs, arising out of or in connection with your breach of these Terms, your violation of any law or the rights of a third party, or your User Content. This is a mutual protection that ensures responsible platform use by everyone.

10. Inactive user and Accounts Policy
If your account remains inactive for a continuous period of 180 days, CineArtery may consider the account inactive and may terminate it and delete associated User Content in accordance with our deletion and retention policy. We will notify you before such action is taken and provide an opportunity to back up your data where reasonably feasible. Activity is measured per Service; activity in one Service does not necessarily keep other Services active, except where account structures or plan terms provide otherwise.

11. Governing Law and Jurisdiction, Dispute Resolution
These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of India. The courts of Bengaluru, Karnataka will have exclusive jurisdiction to resolve any legal suit, dispute between you and CineArtery, except that CineArtery may seek interim, injunctive, or other equitable relief in any court of competent jurisdiction to protect its rights.
11.1 Arbitration
Notwithstanding the above, we may mutually agree to resolve any dispute through arbitration under the Arbitration and Conciliation Act, 2015. Such arbitration shall be conducted in Bengaluru, Karnataka, India, in the English language, by a sole arbitrator mutually appointed by the parties.
